These terms govern the advisory services provided by Quarterhouse.
Introduction
These Terms & Conditions apply to all advisory and consulting services provided by Quarterhouse.
By engaging Quarterhouse for advisory services, the client agrees to the terms outlined on this page unless explicitly agreed otherwise in a written engagement agreement.
Quarterhouse provides senior-led strategic advisory services to organisations, boards and investors. The scope and nature of each engagement are defined in a separate proposal or engagement letter.
Scope of Services
Quarterhouse provides strategic advisory and consulting services related to commercial strategy, organisational transformation and sustainable value creation.
The precise scope of work for each engagement will be defined in a written proposal, engagement letter or statement of work.
Quarterhouse will perform its services with reasonable professional care and diligence, drawing on senior expertise and relevant experience.
Engagement and Fees
Fees for services are defined in the relevant engagement agreement or proposal.
Unless otherwise specified, invoices are payable within fourteen (14) days of the invoice date.
Quarterhouse reserves the right to suspend services in the event of materially overdue payments.
The precise scope of work for each engagement will be defined in a written proposal, engagement letter or statement of work.
Quarterhouse will perform its services with reasonable professional care and diligence, drawing on senior expertise and relevant experience.
Confidentiality
Quarterhouse treats all client information as strictly confidential.
Information shared during the course of an engagement will not be disclosed to third parties unless required by law or explicitly authorised by the client.
Clients are expected to treat Quarterhouse materials, methodologies and advice with the same level of confidentiality.
Intellectual Property
All intellectual property, methodologies and advisory frameworks developed by Quarterhouse remain the property of Quarterhouse unless otherwise agreed in writing.
Clients receive the right to use deliverables and materials provided as part of an engagement for internal purposes.
Limitation of Liability
Quarterhouse provides advisory services and strategic recommendations based on the information available during an engagement.
Decisions made by the client remain the responsibility of the client.
To the fullest extent permitted by applicable law, Quarterhouse shall not be liable for indirect or consequential damages arising from the use of its services or advice.
Termination
Either party may terminate an engagement in accordance with the terms specified in the relevant engagement agreement.
In the absence of specific provisions, either party may terminate the engagement with reasonable written notice.
Fees for work already performed remain payable.
Governing Law
These Terms & Conditions are governed by and interpreted in accordance with the laws of the Netherlands.
Any disputes arising from these terms or from engagements with Quarterhouse shall be submitted to the competent courts in the Netherlands.
